Welcome to Edencart, a multivendor platform operating in Kenya. By accessing or using our website, mobile application, or services, you agree to comply with and be bound by the following terms and conditions. Please read them carefully before using Edencart.

1. Introduction

1.1 These Terms and Conditions ("Terms") govern your use of Edencart’s services ("Services") as a user, vendor, or buyer.

1.2 By registering or using Edencart, you agree to these Terms and our Privacy Policy.

1.3 Edencart reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting.

1.4 It is your responsibility to review these Terms periodically for updates or modifications.

2. Eligibility

2.1 Users must be at least 18 years old to register or use Edencart’s Services.

2.2 Vendors must provide valid business registration details, including tax compliance certificates, and comply with applicable laws in Kenya.

2.3 Edencart reserves the right to reject or revoke access for any user or vendor who fails to meet eligibility requirements or violates these Terms.

3. User Accounts

3.1 Registration: Users must create an account to access certain features of the platform. Registration requires providing accurate personal information, including a valid email address and phone number.

3.2 Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify Edencart immediately of any unauthorized use.

3.3 Account Restrictions: Users may not create multiple accounts for fraudulent purposes or impersonate others.

3.4 Accuracy: All information provided during registration and throughout your use of Edencart must be accurate, truthful, and up-to-date. 3.5 Edencart reserves the right to suspend or terminate accounts for any violation of these Terms, fraudulent activity, or misuse of the platform.

4. Vendor Obligations

4.1 Vendors must:

• Ensure all listed products comply with Kenyan laws and regulations.
• Provide accurate and detailed descriptions, including product specifications, prices, and stock availability.
• Fulfill orders promptly, adhering to promised delivery timelines, and ensure product quality.
• Respond to buyer inquiries and complaints in a timely and professional manner.

4.2 Vendors are solely responsible for any disputes arising from their transactions, including handling returns, refunds, and product defects.

4.3 Vendors must not list prohibited items, including counterfeit goods, illegal products, or items violating intellectual property rights. Edencart maintains a list of prohibited products that vendors must adhere to.

4.4 Vendors are required to comply with Edencart’s commission structure and payment policies. Non-compliance may result in suspension or termination of the vendor account.

5. Buyer Responsibilities

5.1 Buyers must:

• Provide accurate shipping and contact details to facilitate smooth transactions.
• Review product listings, descriptions, and vendor ratings carefully before making purchases.
• Ensure timely payment for products ordered through the platform.
• Report any disputes or issues with vendors to Edencart’s support team within the designated timeframe.

5.2 Buyers acknowledge that Edencart is a marketplace facilitating transactions between buyers and vendors. Edencart does not directly sell, inspect, or warrant any products listed by vendors.

6. Prohibited Activities

Users and vendors are prohibited from:

6.1 Engaging in fraudulent activities, including false reviews, misrepresentation, or providing counterfeit goods.

6.2 Violating intellectual property rights or listing items prohibited by Kenyan law.

6.3 Using Edencart to distribute spam, malware, phishing links, or other harmful content.

6.4 Manipulating prices, interfering with other users’ listings, or engaging in activities that disrupt the platform’s integrity.

6.5 Uploading or sharing obscene, defamatory, or otherwise inappropriate content.

6.6 Attempting to hack, reverse-engineer, or otherwise compromise Edencart’s system or data security.

7. Fees and Payments

7.1 Vendors agree to pay applicable subscription fees, listing fees, and commissions as outlined in Edencart’s pricing policy.

7.2 Edencart facilitates payments between buyers and vendors using third-party payment processors. Edencart is not responsible for payment processing errors or delays caused by these providers.

7.3 Vendors are responsible for ensuring their payment and bank details are accurate and up-to-date in their account settings.

7.4 All fees paid to Edencart are non-refundable unless otherwise specified in writing.

8. Shipping and Delivery

8.1 Vendors are responsible for arranging shipping and delivery of products, including providing tracking information to buyers where applicable.

8.2 Buyers must provide accurate delivery information and adhere to vendor-specific shipping policies.

8.3 Vendors are liable for ensuring that products are adequately packaged to prevent damage during transit.

8.4 Edencart is not liable for delays, damages, or losses incurred during shipping. However, disputes related to shipping may be mediated by Edencart on a case-by-case basis.

9. Returns and Refunds

9.1 Vendors must clearly state their return and refund policies in their product listings, including conditions for eligibility and timelines.

9.2 Buyers must initiate returns or refund requests within the specified timeframe provided by the vendor. Requests outside the timeframe may be declined.

9.3 In cases of disputes, Edencart may mediate but does not guarantee resolutions in favor of any party. Vendors and buyers are encouraged to resolve disputes amicably.

9.4 Refunds, if applicable, will be processed through the original payment method unless otherwise agreed upon by all parties.

10. Intellectual Property

10.1 Edencart retains all rights to its trademarks, logos, proprietary content, and technology. 10.2 Users and vendors may not copy, modify, distribute, or use Edencart’s intellectual property without prior written consent.

10.3 Vendors are responsible for ensuring that their product listings, images, and descriptions do not infringe on third-party intellectual property rights.

11. Liability Disclaimer

11.1 Edencart provides a platform for vendors and buyers but does not guarantee product quality, availability, legality, or compliance with applicable laws.

11.2 To the fullest extent permitted by law, Edencart disclaims all warranties, whether express or implied, and liabilities for any damages arising from your use of the platform.

11.3 Edencart is not liable for:

• Errors, omissions, or inaccuracies in vendor listings.
• Delays, failures, or damages related to shipping and delivery.
• Disputes between buyers and vendors.

12. Dispute Resolution

12.1 Edencart encourages users to resolve disputes directly and amicably.

12.2 If disputes cannot be resolved, they will be subject to arbitration under Kenyan law, as per the Arbitration Act of Kenya.

12.3 Arbitration costs will be shared equally by the disputing parties unless otherwise determined by the arbitrator.

13. Termination

13.1 Edencart reserves the right to suspend or terminate accounts for violations of these Terms, fraudulent activities, or misuse of the platform.

13.2 Users may deactivate their accounts by contacting Edencart’s support team. Account deactivation does not absolve users of any outstanding obligations.

13.3 Upon termination, all rights granted under these Terms will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms shall be subject to the jurisdiction of Kenyan courts.
